These Terms of Service ("Terms") govern your access to and use of Vastyn, a multi-channel e-commerce operations platform provided by Versatile Commerce Ltd ("Vastyn", "we", "us", "our").

By accessing or using Vastyn, you agree to be bound by these Terms. If you do not agree, do not use our Service.

4. The Service

4.1 What We Provide

Vastyn is a multi-channel e-commerce operations platform that enables you to:

• Connect and manage multiple marketplace seller accounts
• Synchronise inventory across sales channels
• Manage orders from a unified inbox
• Track and manage products and SKUs
• Automate operational workflows
• Access analytics and reporting

4.2 Service Availability

We aim to provide 99.9% uptime. However, the Service may be temporarily unavailable due to:

• Scheduled maintenance (we'll provide notice when possible)
• Unscheduled maintenance for urgent issues
• Circumstances beyond our reasonable control

4.3 Changes to the Service

We may modify, update, or discontinue features of the Service. For material changes that negatively affect you, we will provide reasonable notice.

5. Your Use of the Service

5.1 Licence Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

5.2 Acceptable Use

You agree NOT to:

5.3 Compliance with Marketplace Terms

You are solely responsible for complying with the terms and policies of any Marketplace you connect to Vastyn. We are not responsible for your compliance with Amazon, eBay, Shopify, or other marketplace terms.

6. Your Data

6.1 Ownership

You retain all rights to your User Data. We do not claim ownership of your products, orders, customer information, or other business data.

6.2 Licence to Us

You grant us a limited licence to use your User Data solely to:

• Provide and operate the Service
• Improve and develop the Service
• Generate anonymised, aggregated analytics

6.3 Your Responsibilities

You are responsible for:

• The accuracy and legality of your User Data
• Ensuring you have the right to upload and process the data
• Maintaining appropriate backups of your data
• Complying with data protection laws regarding customer data you process

6.4 Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms.

6.5 Data from Marketplaces

When you connect Marketplaces, you authorise us to access and process data from those platforms. You represent that you have the authority to grant this access under your marketplace agreements.

7. Fees and Payment

7.1 Subscription Fees

Access to Vastyn requires a paid Subscription. Current pricing is available at vastyn.com/pricing.

Fees are:

• Charged monthly in advance
• Based on your selected plan and usage tier
• Subject to change with 30 days' notice

7.2 Payment Terms

• Payment is due at the start of each billing period
• We accept major credit cards and direct debit (UK)
• All fees are exclusive of VAT, which will be added where applicable
• Payments are processed securely by Stripe

7.3 Failed Payments

If payment fails:

• We will notify you and attempt to process payment again
• After 7 days of failed payment, we may suspend your access
• After 30 days, we may terminate your Account

7.4 Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Pro-rata refund for unused full months if we terminate your Account without cause
• If you cancel, you retain access until the end of your paid period

7.5 Free Trial

If you use a free trial:

• No payment is required during the trial period
• You may cancel at any time during the trial
• At the end of the trial, you will be charged unless you cancel
• Trial terms may be modified or withdrawn at our discretion

8. Intellectual Property

8.1 Our Intellectual Property

Vastyn, including all software, design, content, logos, and documentation, is owned by Versatile Commerce Ltd and protected by intellectual property laws.

These Terms do not grant you any rights to our intellectual property except the limited licence to use the Service.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free licence to use that feedback without restriction or compensation.

8.3 Trademarks

"Vastyn", "Versatile Commerce", and associated logos are trademarks of Versatile Commerce Ltd. You may not use our trademarks without prior written permission.

9. Third-Party Services

9.1 Marketplace Integrations

The Service integrates with third-party Marketplaces (Amazon, eBay, Shopify, etc.). These integrations are provided for your convenience.

You acknowledge that:

• Marketplaces are independent services with their own terms
• We are not responsible for Marketplace availability, changes, or policies
• Marketplace APIs may change, affecting Service functionality
• Your use of Marketplaces is governed by their terms, not ours

9.2 Payment Processors

Payments are processed by Stripe. Your payment information is subject to Stripe's terms and privacy policy.

We may use third-party services to operate Vastyn (hosting, email, etc.). See our Subprocessors page for details.

10. Disclaimers

10.1 "As Is" Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by law, we disclaim all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of data
• Uninterrupted or error-free operation

10.2 No Guarantee of Results

We do not guarantee that using Vastyn will result in any particular business outcomes, sales, or profits. You are responsible for your business decisions.

10.3 Marketplace Dependency

The Service depends on third-party Marketplace APIs. We cannot guarantee continuous compatibility with Marketplaces that change their APIs, terms, or availability.

11. Limitation of Liability

11.1 Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Costs of procurement of substitute services
• Any damages arising from your use of or inability to use the Service

This applies regardless of the theory of liability (contract, tort, negligence, or otherwise).

11.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED:

11.3 Essential Purpose

The limitations in this section apply even if any remedy fails of its essential purpose.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for:

• Death or personal injury caused by negligence
• Fraud or fraudulent misrepresentation
• Any other liability that cannot be excluded by law

12. Indemnification

You agree to indemnify, defend, and hold harmless Versatile Commerce Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Data
• Your breach of Marketplace terms

13. Termination

13.1 Termination by You

You may terminate your Account at any time by:

• Cancelling your Subscription in your Account settings, or
• Contacting us at hello@vastyn.com

Termination takes effect at the end of your current billing period.

13.2 Termination by Us

We may suspend or terminate your Account:

• Immediately if you breach these Terms, engage in illegal activity, or pose a security risk
• With 30 days' notice for any other reason

13.3 Effect of Termination

Upon termination:

• Your right to access the Service ends
• We will delete your User Data within 90 days (except as required by law)
• Provisions that should survive termination will remain in effect (including Sections 6.1, 8, 10, 11, 12, and 15)

13.4 Data Export

Before termination, you may export your data using the Service's export features. After termination, we are not obligated to provide access to your data.

14. Changes to These Terms

We may modify these Terms from time to time.

For material changes:

• We will notify you by email at least 30 days before the changes take effect
• Continued use after the effective date constitutes acceptance

For minor changes:

• Updated Terms will be posted on this page
• The "Last Updated" date will be revised

If you do not agree to modified Terms, you must stop using the Service before they take effect.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales.

15.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@vastyn.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vastyn.

16.2 Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.

16.3 Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

16.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.

16.5 No Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Vastyn.
